These Terms & Conditions ("Terms") govern your access to and use of www.vistarahglobal.com (the "Website") operated by Vistarah Global Private Limited ("Vistarah", "we", "us" or "our"). They also describe the general basis on which we communicate with business users about products, services and export opportunities.

The Website is an enquiry-based business platform. It provides business information and accepts enquiries and quotation requests from users. It does not provide online checkout, customer accounts or online payment. By using the Website or contacting us, you agree to these Terms. If you do not agree, please do not use the Website.

A specific written quotation, purchase order, proforma invoice, supply agreement, export contract or other written commercial document issued by Vistarah or otherwise accepted in writing by an authorised representative of Vistarah (the "Transaction Agreement") governs the relevant transaction. If these Terms conflict with the applicable Transaction Agreement, the Transaction Agreement governs that transaction.

"Content" means text, images, graphics, logos and other material on the Website.

"Goods, Products or Services" means goods, products or services that Vistarah may discuss, quote or supply under a Transaction Agreement.

"Transaction Agreement" means any written commercial document or agreement issued by Vistarah or otherwise accepted in writing by an authorised representative of Vistarah for a particular enquiry or transaction, including a quotation, purchase order, proforma invoice, supply agreement or export contract.

"You" or "Customer" means the business, organisation or authorised representative using the Website or communicating with Vistarah.

The Website is intended primarily for business users. You must be at least 18 years old or the age of majority in your jurisdiction, and you must have authority to act for any business or organisation you represent when submitting an enquiry or entering into a transaction.

We make reasonable efforts to keep Website Content accurate and current, but product descriptions, specifications, availability, pricing, delivery information and other Website information may be indicative, incomplete or subject to change. Website Content does not constitute a binding offer or warranty unless expressly stated in the applicable Transaction Agreement.

Prices, currencies, quantities, specifications, quality requirements, delivery terms, taxes, duties, payment terms and other commercial matters are governed by the applicable Transaction Agreement. Vistarah may correct errors or withdraw information before issuing or accepting a Transaction Agreement.

Enquiries, quotations, requests or discussions made through the Website, email, telephone, meetings or any other communication channel are requests for information or discussion only and do not create a binding offer, order or contract.

A binding transaction is formed only when a Transaction Agreement has been issued by, or expressly accepted in writing by, an authorised representative of Vistarah. Vistarah may decline an enquiry or transaction, including where availability, pricing, regulatory requirements, credit, counterparty checks, sanctions or suspected fraud create a reasonable concern.

Unless expressly stated in the applicable Transaction Agreement, prices exclude applicable taxes, customs duties, tariffs, import charges and clearance costs. The parties' responsibilities are determined by the agreed Incoterms and the Transaction Agreement. You are responsible for ensuring that the Goods, Products or Services may lawfully be imported, used and resold in the destination country, unless the Transaction Agreement expressly allocates a different responsibility.

The Website does not accept online payments. Payment methods, currency, banking details, payment milestones, credit terms, security, banking charges and consequences of late or non-payment are governed solely by the applicable Transaction Agreement. Do not send card details or other payment credentials through the Website.

Shipping, delivery, risk, title, inspection, acceptance, claims, returns, cancellations, replacement and refunds are governed by the applicable Transaction Agreement and, where expressly incorporated, our Shipping & Delivery Policy and Refund, Returns & Cancellation Policy. If there is any conflict between those policies and the applicable Transaction Agreement, the Transaction Agreement will prevail for that transaction. No general Website statement creates a return, refund or cancellation right unless required by applicable law or expressly agreed in writing.

All Content on the Website is owned by or licensed to Vistarah and protected by applicable intellectual-property laws. You may view and use the Website for legitimate business evaluation only. You must not copy, reproduce, distribute, modify, publish, scrape, reverse engineer or create derivative works from Website Content without our prior written permission.

Information submitted through the Website, including enquiry details, product requirements, specifications, attachments, comments or other business information, may be used to respond to the enquiry, evaluate an opportunity, perform a transaction, protect Vistarah's legitimate business interests or comply with applicable law. We do not obtain a general right to publish or commercially reuse confidential buyer or supplier information.

Your use of the Website is also subject to our Acceptable Use Policy. You must not use the Website or information obtained from it for an unlawful, fraudulent, deceptive, abusive, harmful or unauthorised purpose, including impersonation, unauthorised data collection, interference with Website security or infringement of another person's rights.

Our products, services and transactions may be subject to export-control, import-control, customs, anti-boycott, anti-bribery, sanctions and other trade-compliance laws of India and other relevant jurisdictions. You must not export, re-export, sell, transfer or supply any Goods, Products or Services in violation of applicable law, involve any restricted person or prohibited end use, or be located in, or act on behalf of any party in, an embargoed or restricted territory. Each party is responsible for the licences, permits, approvals, screening and other compliance obligations assigned to it by applicable law and the applicable Transaction Agreement. Vistarah may suspend, decline or terminate a transaction where required for compliance or where a reasonable compliance concern arises.

The Website and Goods, Products or Services are provided on an "as is" and "as available" basis as further described in our Disclaimer. To the maximum extent permitted by law, Vistarah does not warrant that the Website will be uninterrupted, error-free or complete for a particular business decision. Product or Service warranties, if any, are governed by the applicable Transaction Agreement.

To the maximum extent permitted by law, Vistarah's total liability arising from or relating to use of the Website or these Terms will not exceed the amount paid, if any, for the specific transaction or service giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or death or personal injury caused by negligence, or any other mandatory rights that cannot lawfully be excluded or limited.

To the maximum extent permitted by law, you agree to indemnify and hold Vistarah and its officers, employees and service providers harmless from claims, losses, liabilities, costs and expenses arising from your breach of these Terms, violation of applicable law, misuse of the Website or infringement of a third party's rights.

Vistarah is not liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, strikes, pandemics, epidemics, customs delays, carrier disruption, shortage of materials, cyber incidents, government action, regulatory restrictions or changes in law. The applicable Transaction Agreement may contain additional force-majeure provisions.

We may suspend or terminate your access to the Website or decline further communications where you breach these Terms, misuse the Website, create a security or compliance risk, or where required by law. Provisions that by their nature should survive termination will continue to apply.

We may revise these Terms from time to time. The version posted on the Website applies to Website use from its effective date. The Transaction Agreement applicable to a specific transaction continues to govern that transaction unless it expressly provides otherwise.

These Terms are governed by the laws of India. Subject to any mandatory law that applies, courts located in Gurugram, Haryana, India will have exclusive jurisdiction over disputes arising from or relating to these Terms or use of the Website. Disputes relating to a specific transaction will be handled as stated in the applicable Transaction Agreement.

Severability: if any provision is held invalid or unenforceable, the remaining provisions continue in effect.

Waiver: failure to enforce a provision is not a waiver of it.

Entire Agreement: these Terms and any policies expressly referenced, together with the applicable Transaction Agreement, represent the agreement governing the relevant subject matter. The Transaction Agreement controls the specific transaction.

Assignment: you may not assign rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations as part of a reorganisation, merger, sale or transfer of our business, subject to applicable law.
